Doug got the shaft in the PR as well...maybe check your PRs before releasing them.  This better be the final time LME does a dilution. Alll the messaging prior was Laurion had a strong corporate treasury position, why initiate a private placement now? My only hope is they're using the funds to pay expensive audtiors, lawyers and consultants for an equity transaction otherwise, this is a signal nothing has transpired with USG and they need to settle in for longer and wait for someone to come door knocking with a cheque book ...more

Do these funds not have to be used for exploration in order to get the tax break?

Haven't been on here in a while - but want to say thank you to everyone that posts on here - lots of good information, wisdom and laughs.  Like everyone I hope for a deal announcement each and every day - so when something comes out that isn't a deal - I am immediately (but purely emotionally) disappointed.  Then my brain kicks in and I realize that I) Cynthia will run this ...more

Thank you Fatlas.  Curious on your thoughts on the insider consistently selling?  Is it insiders keeping this wall at 40c?  Why would they be doing this, or is it just an attempt to sell their shares gradually and realizing their gains, while not plummeting the stock?  It's beyond frustrating, and you get 0 insight from management or PR.

Hello Newbie8484! I know of one board member selling - and based on info provided on Sedi and this board it looks like he has finished selling. We've been told that his selling was due to personal financial circumstances - and I believe it. We should all remember that there is a burden on LME and its officers to be truthful in their disclosures - and to me - the idea of someone close to LME ...more

Thank you Faltlas!  You are correct, Michael Burmii hasn't sold shares for almost six weeks now for exactly the reasons you stated. Anyone who continues to bring this up is beating a dead horse. Burmi still holds over $10M shares in his corp...end of story.  For those of you who keep bringing up dilution you aren't wrong but you are incorrect in how you interpret dilution. If ...more

Hi Doug, in terms of dilution, if a buyout happens then we are being/have been diluted.  what you say about todays value then yes I agree we aren't losing value right here right now because I can sell my shares at the same price today as yesterday. But talk refers to buyout scenarios, not todays value.  A buyer would make an offer based on resources and cost of extraction, it ...more

You're solely focusing on the dilution aspect and the negative side of this. Money in the bank provids strength, and positions us more positively toward the end goal. Strength = buyout. More strength = bigger buyout (potentially). So yes - your point is true IF LME sells for 3Bill no matter what. But, if more strength brings that number up it doesn't matter, and I'm all for it.

Dont matter any deal'll be made at da table on per share not gross deez PPs R immaterial
Comment by fatlas on Apr 11, 2024 7:49am
I'm going to try and end this dilution 'discussions once and for all.  No one anywhere is negating the simple math of Company Value divided by the number of shares outstanding equals the value per share. It's math. You increase the company value and keep the number of shares outstanding the same - you have more value per share. You keep the company value the same and increase ...more

Re-upping my request for an edit function.  too many mistakes to fix - but my last sentence should read: we will see who it is that subscribed and that should tell us a lot.  LME long to the end.

If you look at Cynthia's Linked In post and responses she points back to the PR's over the past few months. Go back and re-read them.  Aug 24th, 2023 - They hired US Capital Corp to identify and unlock potential strategic alternatives and transactional opportunities that may be beneficial to the corporation and its stakeholders.  Nov 14th, 2023 - They provide a corporate update ...more

Great read from someone who knows what he is taking about. Unlike the "must drill more" and "more dilution" basement stratigists and wanna ba CEO's on this board. So many great points. 22) Keep the drill bit running - If you can afford to, always keep a drill turning on your project while you are negotiating. It provides for additional leverage in negotiations. 19 ...more

You realise you've criticised 'must drill more' and then posted 'keep the drill running'.  *facepalm*
Comment by TraderRC on Apr 11, 2024 3:18pm
No *facepalm* Some have criticized the amount of the drill program and we should be drilling alot more. Keep the drill going is business as usual until a deal is done, our "small drill program" is keep the drills going.  There is a difference.  Great read, I see a lot of LME similarities. As I said before, I trust Cynthia to take us across the finish line TraderRC

On top of those two valid points, I'd add the one below. Which should give people some comfort knowing who leads the ship, and perhaps some humility in all their disconcertment.   7)   Leverage board “been there, done that” experience. Having someone on your board or executive team who has “been there, done that” is key during M&A activity. Especially when ...more

Playing devils advocate... 5)   Investors need things to get excited about.   Make sure there is more to your story then just the PEA or the feasibility study.  Investors aren’t investing and bidding you up because of what you did, they’re investing because of what they believe you’re going to do. As crazy as it sounds, try to ensure that whatever economic ...more

Well said DAM$ This is Cynthia's 3rd deal. She has both mining and mining M&A experience.  When I first heard of LME they had what I would call a traditional strategy - involving all the things and people everyone wishes were here - promotion, advertising, research coverage, portfolio manager / institutional buy in - but then their focus changed - towards selling into the private ...more

To my understanding she was involved with San Gold and Antares Minerals - both acquired.

The Special Committe and Financial Advisory arrangement will remain in place until a deal is completed.  John Covello grew up panning for gold north of Thunder Bay with his Dad.  He understands the mining industry as well as anyone in the industry and spent time interviewing and visiting close to 100 junior exploration companies.before investing his hard earned money into LME.  He ...more

During the last tranche of Private Placement units Steven Hunter had mentioned the buyer was the same buyer as the preceding 5 private placements. Quite often I see downward pressure on a stock's  share price and then a PP is announced close to the current share price.  It's getting hard not to believe that manipulation is not taking place and is not related to getting a PP at a lower price.  -More share dilution is not attractive.... closing in on 300M Outstanding shares.  - weren't we told we had enough ...more

Wasn't the PP done in 2022 at $1.05-$1.10 or something like that?   Then it tanked.   No downward pressure prior to the PP then.
