Independant officer vs non-independant officer?

In the initial Nickel 28 circular, Mr. Williams is "Lead independant Director" (page10), and  Chair of Audit commitee (p.36) and Chair of the the Compensation committee (p.37).
Now, in the recent circular supplement, Mr. Williams is a Non-Independant director. Mr. Williams is CEO of Consolidated Uranimum Inc. (p. 11) and Mr. Milewski is Director at Consolidated Uranium Inc. (P.9).
it seems pretty clear to me that there is non-independance here. The optics are vey bad, and unfortunatly these are no longer only optics. Why do we have to find out via Pelham that the Chair of Audit and Compensation Commitees is really non-independant?
That is the drop in my bucket. I understand what my vote should be now!

Incredibly frustrating that current mgmt/board is morre focused on rewarding itself, not the shareholders.
