Well, it's been a long time since I "loaded up the truck!" So after analyzing all the documents from both sides, I've now voted for the Yellow Proxy with the activist investors. Grant and Penny were very helpful. Now I'm getting phone calls from the Blue Team begging me to switch my vote!  I don't even know where they got my phone number! These are the guys who have been diluting and dumping repeatedly to drive the share value down, likely so their friends can buy the company for a song. None of them paid a dime for their shares, they just award themselves free shares and money for doing nothing, except firing Peter Bell, the best CEO we ever had, who tried to stop their tricks.  Mark O'Dea resigned in disgrace, but we need to vote out the rest of his predatory allies, so the shares can return to $1 and above.  It's a good company.  It's just been pillaged by a bunch of vandals.
