Pan American Fertilizer and Golden Fame Resources Announce Shareholder Approval of Proposed Arrangement

Vancouver, B.C., July 11, 2013 - Pan American Fertilizer Corp. (CNSX: PAF)("Pan American") is pleased to announce the results of its Special Meeting of Shareholders (the "Pan American Meeting") held on July 11, 2013 in Vancouver, B.C. At the Pan American Meeting, shareholders approved all resolutions put before them, including, the approval by 100% of the Pan American shares voted, of the previously announced proposed transaction with Golden Fame Resources Corp. (TSXV: GFA; Frankfurt: 6GF)("Golden Fame") whereby Golden Fame will acquire all of the issued and outstanding securities of Pan American by way of a statutory plan of arrangement (the "Arrangement") pursuant to the British Columbia Business Corporations Act.

Golden Fame is pleased to report that all resolutions presented to shareholders of Golden Fame relating to the Arrangement, including the proposed consolidation of Golden Fame's issued and outstanding common shares on the basis of one (1) post-consolidation common share for every four (4) pre-consolidation common shares (the "Consolidation"), were approved by 100% of the votes cast at Golden Fame's Extraordinary General Meeting of Shareholders, also held on July 11, 2013 in Vancouver, B.C.

The completion of the Arrangement remains subject to, among other things, completion of the Consolidation, the final approval of the Supreme Court of British Columbia and final acceptance by the TSX Venture Exchange. At 9:45 a.m. on July 17, 2013, Pan American plans to apply to the Court at 800 Smithe Street, Vancouver, British Columbia, to obtain an Order of the Court approving the Arrangement. Subject to complying with applicable procedures, any registered shareholders of Pan American and other interested parties who wish to participate or to be represented or to present evidence or arguments at the hearing, may do so.

Assuming court approval is obtained and all other closing conditions are satisfied or waived, it is anticipated that the Arrangement will be completed by the end of July, 2013.
