VANCOUVER, Nov. 19, 2013 /CNW/ - Uracan Resources Ltd. (TSX.V:URC) ("Uracan" or the "Company") announces a non-brokered
private placement of up to 10,000,000 flow through shares at a price of
$0.10 per share for gross proceeds of $1,000,000 and up to 5,000,000
non-flow through units at a price of $0.10 per unit for gross proceeds
of up to $500,000. Each non-flow through unit will consist of one
common share and one half of a common share purchase warrant. Each
whole warrant will entitle the holder to purchase one common share at a
price of $0.15 per common share for a period of 1 year from closing. A
minimum of $190,000 of shares or units will be purchased by insiders.
Finder's fees on the gross proceeds of the offering may be paid.
The proceeds of the offering will be used to continue exploration and
development of the Company's flagship Black Lake Project and the
Pipewrench Lake Project in Saskatchewan, as well as for general working
capital. Exploration work consisting of diamond drilling and ground
geophysics is expected to commence on the Black Lake Project in early
2014.
Management Update
The Company is pleased to announce that Mr. Clive Johnson, a founding
director, has been appointed as Chairman of the Board of the Company.
Mr. Johnson is the current President and Chief Executive Officer of
B2Gold Corp. Mr. Johnson was a founder of Vancouver based intermediate
gold producer Bema Gold.
In 2007, Mr. Johnson and the other key executives from Bema Gold founded
B2Gold. In six years B2Gold has become a successful intermediate gold
producer with projected production growth from existing assets to over
450,000 ounces of gold per year by 2015 and a current market
capitalization of Cdn$1.5 billion.
The Company also announces the appointment of Mr. Jeremy Crichton, CA as
Chief Financial Officer and Corporate Secretary. Mr. Crichton currently
is VP Corporate Finance of Fiore Management & Advisory Corp., a private
financial advisory firm. He is a Chartered Accountant and holds a
Bachelor of Commerce degree from the University of Victoria.
