Ascot Resources Ltd. (TSX VENTURE:AOT)is pleased to announce that it has entered into an agreement with Primary Capital Inc.,
on behalf of a syndicate of dealers including Red Cloud Klondike Strike Inc. (collectively, the Agents"), pursuant to which Ascot
will complete a brokered private placement of a minimum of 2,750,000 "flow-through" common shares ("FT Shares") on a guaranteed
basis at a price of $2.25 per FT Share, to raise aggregate minimum gross proceeds of $6,187,500 (the "Private
Placement"). The Agents will also have an option exercisable, in their sole discretion, until two business days prior to
closing to increase the size of the Private Placement by up to an additional 2,000,000 FT Shares.
The proceeds of the private placement will be used for exploration of Ascot's Canadian properties.
The private placement remains subject to the approval of the TSX Venture Exchange.
