Partners LP (NYSE: AM) ("Antero Midstream" or the "Partnership") announced today the pricing of an upsized underwritten
public offering of 6,000,000 common units representing limited partner interests in Antero Midstream (the "Offering") at a public
offering price of $33.00 per common unit for aggregate gross proceeds of approximately $198 million before estimated offering expenses. In addition, the Partnership has also granted the
underwriters a 30-day option to purchase up to an additional 900,000 common units.
The Partnership expects to use the net proceeds from the Offering, including the proceeds from any exercise of the
underwriters' option to purchase additional common units, for general partnership purposes, including to repay a portion of the
outstanding borrowings under its revolving credit facility. These borrowings include amounts incurred on February 6, 2017 to fund the recently announced Appalachian processing and fractionation joint venture with
MPLX, LP (NYSE: MPLX).
Barclays and Wells Fargo Securities are acting as joint book-running managers for the Offering.
