Horizon Technology Finance Corporation Prices Offering of Notes

FARMINGTON, Conn., Sept. 26, 2017 /PRNewswire/ -- Horizon Technology Finance Corporation (Nasdaq: HRZN) (the "Company" or "Horizon") announced today that it has priced an underwritten public offering of $32.5 million aggregate principal amount of notes due 2022 (the "Notes"), which will result in net proceeds to the Company of approximately $31.3 million after payment of underwriting discounts and commissions and estimated offering expenses payable by the Company. The Notes will mature on September 15, 2022 and may be redeemed in whole or in part at any time or from time to time at the Company's option on or after September 15, 2019. The Notes will be issued in denominations of $25 and integral multiples of $25 in excess thereof and will bear interest at a rate of 6.25% per year, payable quarterly, with the first interest payment occurring on December 15, 2017. In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional $4.875 million aggregate principal amount of Notes to cover overallotments, if any.

The offering is expected to close on September 29, 2017, subject to customary closing conditions. The Company intends to list the Notes on the New York Stock Exchange under the symbol "HTFA."

The Company intends to use the net proceeds of the offering of the Notes to pay down the Company's outstanding debt, including redeeming the Company's 7.375% notes due 2019.

The sole book-running manager for the offering is Keefe, Bruyette & Woods, A Stifel Company. The co-managers for the offering are BB&T Capital Markets, William Blair, Janney Montgomery Scott and Oppenheimer & Co.
