of C-COM to officers and directors of the company, all pursuant to the terms of C-COM's stock option plan. The stock options form
part of the annual remuneration for such officers and directors and are exercisable at a price of $1.06 per share. This grant of
stock options is subject to necessary regulatory approvals.
