BlueOcean NutraSciences Inc. Announces the Issuance of Shares for Debt

TORONTO, ON / TheNewswire / March 2, 2018 BlueOcean NutraSciences Inc. (“ BlueOcean ” or the “ Company ”) (TSX-V: BOC) announces t hat in accordance with the Company’s agreement to issue shares for services (pursuant to its news release dated January 22, 2018) for the ongoing services of Stephen Gledhill as Chief Financial Officer of the Company, 12,121 common shares of BlueOcea n have been issued to Keshill Consulting Associates Inc. (a company wholly-owned by Mr. Gledhill), at a deemed price of $0.165 each, in settlement of February 2018 management fees totaling $2,000 (the “ Issuance ”).

 

The Issuance constitutes a “related-party transaction” within the meaning of TSXV Policy 5.9, which incorporates Multilateral Instrument 61-101 (“ MI 61-101 ”) and the Company intends to rely on certain exemptions contained in sections 5.5(b) and 5.7(a) of MI 61-101.  The Shares will be issued with a 4-month-plus-1-day hold period.

 

The Issuance will not result in a new Control Person and subsequent to the Issuance, the Company will have 41,158,280 common shares outstanding.
