"Company" or "Check-Cap") (NASDAQ: CHEK; CHEKW; CHEKZ), a clinical-stage medical diagnostics company engaged in the
development of C-Scan®, an ingestible capsule for preparation-free, colorectal cancer screening, today announced the closing of
its previously announced underwritten public offering of 3,189,381 units, with each unit consisting of one ordinary share (or
ordinary share equivalent) and one Series C warrant to purchase one ordinary share, along with the exercise in full by the
underwriter of its option to purchase an additional 478,407 ordinary shares and Series C warrants to purchase up to 478,407
ordinary shares. The Company received gross proceeds (before deducting underwriting discounts and commissions and other offering
fees and expenses) of approximately $20.2 million from the offering and the exercise in full of the
underwriter's option to purchase additional securities.

The ordinary shares (or ordinary share equivalents) and the accompanying Series C warrants included in the units were
purchased together in this offering, but were issued separately and were immediately separable upon issuance. Each Series C
warrant has an exercise price of $5.50 per share, is exercisable immediately and will expire five
years from the date of issuance. The Series C warrants are listed on the Nasdaq Capital Market under the symbol "CHEKZ".
Check-Cap intends to use the net proceeds of the public offering for research and development, clinical trials in Europe and the U.S., manufacturing capabilities, and working capital and other general corporate
