Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors (“Board”) of Cadus Corporation (“Cadus” or the “Company”) (OTC QB: KDUS) related to the Company’s entry into an agreement to be acquired by Starfire Holding Corporation (“Starfire”) in a transaction announced on January 22, 2018 (the “Proposed Transaction”).

On January 20, 2018, the Board caused Cadus to enter into an agreement and plan of merger (the “Merger Agreement”) with Starfire. Pursuant to the terms of the Merger Agreement, shareholders of Cadus will receive $1.61 in cash for each share of Cadus common stock.

On May 15, 2018, Cadus filed a definite proxy statement (“Proxy Statement”) with the United States Securities and Exchange Commission (“SEC”) in connection with the Proposed Transaction, which recommends that Cadus’s shareholders vote in favor of the Proposed Transaction.
