READING, Pa., Dec. 11, 2019 (GLOBE NEWSWIRE) -- EnerSys (NYSE: ENS) (“EnerSys” or the “Company”) today announced the closing of its previously announced private offering of $300 million aggregate principal amount of 4.375% senior notes due 2027 (the “Notes”); The Notes were issued at an issue price of 100% of the principal amount.
The Notes are senior unsecured obligations of the Company and are guaranteed on a senior unsecured basis by each of the Company’s subsidiaries that is a guarantor under the Company’s existing senior secured credit facilities (the “Existing Credit Facility”) and 5.00% Senior Notes due 2023.
EnerSys intends to use the net proceeds from this offering to repay a portion of the outstanding borrowings under the revolving portion of the Company’s Existing Credit Facility (without a reduction in commitment).
The Notes and the related guarantees have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any applicable state or foreign securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws.
