Each FT Unit is comprised of one common share and one half of one common share purchase warrant, issued on a flow-through basis, with each full common share purchase warrant (a "Warrant") being exercisable to acquire one additional common share of the Company at a price of $0.27 for a period of 36 months following the closing date of the Offering. The common shares that comprise the FT Units qualify as "flow-through shares" (within the meaning of subsection 66(15) of the Income Tax Act (Canada) and section 359.1 of the Taxation Act (Québec)). The gross proceeds from the Offering will be used by the Company to incur eligible "Canadian exploration expenses" that qualify as "flow-through mining expenditures" (as both terms are defined in the Income Tax Act (Canada)) (the "Qualifying Expenditures") related to the Company's Duparquet Gold Project and its other mineral projects in Québec. The Qualifying Expenditures will be renounced in favour of the subscribers of the Offering with an effective date no later than December 31, 2024 and in an aggregate amount of not less than the total amount of the gross proceeds raised from the Offering.

The FT Units issued under the Offering are subject to a statutory hold period of four months and one day from the issuance of the units, expiring on October 24, 2023.

The securities have not been and will not be registered under the United States Act of 1933, as amended (the "U.S. Securities Act") or any state securities laws and may not be offered or sold within the United States or to U.S. Persons (as such term is defined in Regulation S under the U.S. Securities Act) unless registered under the U.S. Securities Act and applicable state securities laws or an exemption from such registration is available.
