My read of the merger aggrement is that if ARZ shareholders don't approve the HL transaction, then ARZ only reimbures HL for its expenses to a maximum of $8 mm . . . but maybe their expenses were less than half that.  Getting 66.67% is no slam dunk given large portion held by retail investors.

If I were AGI, I would hold onto my shares . . . see if the stock falls out of bed if the HL deal fails, and start accumulating again.
