KWG Resources Inc > A question for Lou 64

A question for Lou 64

Lou, Wyloo owns approximately 37% of all Noront shares at this time. I have seen you mentioning that Wyloo has a third party ( henchmen you call them) quietly purchasing shares on the open market for Wyloo. The question is , is this even legal? Lets say each of the 3 "henchman" collects 5% of Noront's shares on the open market. Can Wyloo just accept these shares as a gift, and magically say they now have 52% of Noront and now have full control?? Do they purchase the shares off of the Henchmen in a private deal ( outside) the open market?? Do they join forces and the new bidder would be Wyloo & Henchmen ( 37%+ 15%= 52% and full control) .

How does Wyloo get to 50.1% without disclosing insider intentions. I know at certain thresholds of ownership that they must declair they have achieved that threshold. 50.1 % i believe is one of those thresholds.

OR is this 1 of the reasons why they have not put in a formal bid as of yet?? So they can legally continue to accumulate and once they have reach a  SOLID 50.1% ( fully diluted) then disclose. I am under the impression that once you put in a formal bid to acquire all of the shares you cannot continue to purchase on the open market. Or am i wrong there? Thanks in advance

I'm not Lou but if on the open market a big company would want to secretely buy share they could pay and get it secretely to some entities and hang onto them for voting count.  Just stabbing at the 51% thinking scenario that I am curious as well as others. We are leaning as this happens .Well I am. LOL

I am quite sure that being a private company has nothing to do with it. Even a retail shareholder that goes over 5% must report. Found this but have not had much time to search. https://www.investmentfundlawblog.com/resources/investments-by-funds/acquiring-5-publicly-traded-company/

So if 25% of Noront is availiable and 6 or more were secretely buying for whoever than it would not reach the 5% you mentioned. Does Big Business think that hard. Probably LOL  I'm a KWG holder before these suprises and I am no privy to this fiasco but I Like It.!!!
Comment by startenout on Sep 05, 2021 12:30am
Your math is correct, but how do these 6 buyers of 4.17 % each ( staying under the 5% threshold) a get these shares into Wyloo's hands so they add up to 37%+ 25% = 62% . This would be well over the 50.1 % for control, but how do they get them into Wyloo's hands ?? Lou, when you say "release them to Wyloo " what EXACTLY do you mean by release. What am i not understanding? If i ...more

Sorry start but quick answer as I previously mentioned would be the vote plus say 37% of Noront or Say 5% plus of BHP which seems for now the only offer. I do not know or forseen this whole scenario but i like it. Kwg is in a safe place i think.!!!
