Would someone 'bottom-line' this latest 'Rights' proposal?

...ahrrrrgh!   'KISS' Me.  Does this offer apply to U.S. shareholders?  (i gathered it does not).  Anyway, if anyone out there can 'dissect' this plan, I would appreciate it.   Go ERC.   GaL

                        And explain why this would push the stock price 'up' ???
