On May 16, 2011 the Toronto Venture Exchanged issued a halt trade order at the request of the
Company pending an announcement. The Company announced it had entered into a
conditional agreement to execute a business combination via amalgamation with OSM Solar
Corp. (now OSM Solarform Corp.) of Welland Ontario. If completed, this transaction will see
Forterra gain the opportunity to continue pursuit of its current business as well as the growing
solar panel manufacturing and distribution industry. Both industries fit into the renewable
resources sector in which Forterra has strategically positioned itself.
There is no guarantee that this transaction will be completed or that Forterra will return to a
clear going concern. Management believes that this transaction has a reasonable likelihood of
concluding successfully.
