I scanned though the sec material long time ago so pl refresh my memory if I am wrong.
(1)  If you hold ONE share of NGA you will get in exchange ONE share of LEV when merger is approved. Share price on the market will be what it will be.
2)  What exactly do you mean when you say "We don't know what the IPO price will be".  Wasn't it agreed upon at $10 per NGA share?
