More HELP!!! pleaseWhy would you appoint a new board member 5 days or so before your AGM???

This reeks of last-minute thinking. Or panic. Or something.

Does this mean that the company will need to hold a special meeting for shareholders to vote on McGarva's board appointment? Or does he sit on the board until the next AGM before shareholders get to vote on his membership? That doesn't sound kosher.
