Total buy price with Debt $1.70. I can agree with this.

 

But can you or anyone explain...

 

What's the future upside for the purchaser if they buy the Novus assets for $1.70? Is there more then $1.70 of value there ?  Maybe this is the question thats taking so long to answer.
