HIP doesn't owe anybody anything if the shareholders vote against the deal. They owe money ONLY if one of the directors changes the deal in bad faith.
What if HIP gets a better deal from another major player in the industry? HIP with their new recreational license and tragically hip branding is a lot to offer a bigger company in this market, especially now. This will NOT be the only offer made to the HIP, but it is by far the worst as of now.
