Honestly, ACB has to put this term into the offer to protect themselves.  If CMED acquires HIP, it's going to VASTLY change the deal/valuation of the companies, and it would cost ACB approximately 35% more to pick up CMED after the acquisition.  ACB can't bind themselves to that kind of a deal.  That's why you see that condition in there.  Conditions can either be ...more
