Why is management so anxious to close this deal with OSK, why not shop this around a little?

What happens to the $100,00,000 in cash and investments QMI has on hand?Is that part of the deal, OSK pays $6 bucks a share for property and all the cash? Are you longtime shareholders happy with that?  Just saying it may be that this deal needs a little more thought.
