SONOMAX REPORTS PROGRESS ON THE SALE OF 51% OF ITS INTELLECTUAL PROPERTY PORTFOLIO TO VALUE LINK HOLDINGS LTD

Dear Steve Simmons   Montreal, Quebec, February 19, 2013.  Sonomax Technologies Inc. (TSX Venture: SHH) is pleased to report substantial progress on its strategic investment agreement with ValueLink Holdings Limited of Taiwan for the  acquisition by ValueLink of a 51% ownership interest in Sonomax’s intellectual property. ValueLink has confirmed that its due diligence review of Sonomax’s patent portfolio has been completed to its satisfaction and the parties are now in the last stages of finalizing the Definitive Agreement.   As a future partner and co-owner, ValueLink has already started to play a critical role in positioning SonoFit™ with major OEMs and ODMs to ensure adoption of the technology. In order to complete the Definitive Agreement, Sonomax CEO Nick Laperle will be in Taipei for the next 10 days.   Closing of the transaction is subject to a number of conditions, including regulatory approval. ValueLink will have the right to assign its rights or to delegate any performance under the agreement to a third party, with Sonomax’s prior consent.   Sonomax has recently rationalized its operations to focus exclusively on supporting OEMS and ODMS and on continued Research & Development. The result is a reduction in overhead costs of almost $1,000,000 per year.
