Foraco International Announces Binding Term Sheets for a Proposed Refinancing

TORONTO and MARSEILLES, France May 19, 2021 /CNW/ - Foraco International SA (TSX: FAR) (the " Company " or " Foraco "), a leading global provider of mineral drilling services, announces that it has entered into a binding term sheet on May 19, 2021 (the " Term Sheet ") to reorganize its existing indebtedness (the " Financial Reorganization "). The Financial Reorganization is expected to significantly improve the Company's debt profile by effecting an early redemption of Foraco's existing bonds and the Company entering into a new bonds facility with Marathon Asset Management LP (" Marathon "). The Financial Reorganization is expected to result in a reduction in net debt of approximately US $49.4 million (*) upon completion.

Pursuant to the Term Sheet, the Company and Marathon have agreed to enter into a senior secured bonds facility (the " Senior Bonds Facility ") bearing an initial principal amount of US $100 million . The Company expects to close the Senior Bonds Facility on or about June 30, 2021 (the " Closing Date "). The Senior Bonds Facility will mature on December 15, 2025 (the " Maturity Date "). US $5 million will be repayable on the first anniversary of the Closing Date and US $10 million will be repayable on each of the second, third and fourth anniversaries of the Closing Date, with the remaining principal amount being repayable on the Maturity Date. Amounts borrowed under the Senior Bonds Facility will accrue interest at a rate of 8.5% per annum plus the London Inter-Bank Offered Rate (" LIBOR ") provided that if LIBOR is less than 0.5% then LIBOR will be deemed to be 0.5%. Accrued interest will be repayable every six months or, at the Company's option, every three months. In connection with the Senior Bonds Facility, the Company and certain of its subsidiaries will agree to act as either a principal obligor or guarantor, and the Company and certain of its subsidiaries will grant security interests in certain of their material assets (the " Security Interests ").

The proceeds from the Senior Bonds Facility will allow the Company to complete an early redemption of its outstanding euro-denominated bonds (the " Bonds ") previously issued to affiliates of Oaktree Capital Management L.P. (" Oaktree ") and Kartesia Securities IV S.A. (" Kartesia ") in connection with its financial reorganization in 2017 (the " Bonds Redemption "). The Company, Oaktree and Kartesia have entered into a binding term sheet for the Bonds Redemption. The Bonds Redemption will be effected on the Closing Date by way of a repayment of approximately US $ 89.7 million (*) (" Redemption Payment ") and the issuance of 9,300,000 new ordinary shares of the Company (the " Share Issuance ") to be added to the 89,951,798 existing shares of the Company issued and will represent, as of the Closing Date, approximately 9.4% of the share capital of the Company. The shares will be issued at a deemed price per share of €1.53 (equivalent to US $1.80 per share, assuming an exchange rate of €1.00 to US $1.18 (*) ).

In connection with the Share Issuance, Foraco, certain principals of Foraco, Oaktree and Kartesia will enter into an investor rights agreement (the " Investor Rights Agreement ") pursuant to which Oaktree and Kartesia will be granted certain customary investor rights, including a right to jointly nominate one person (the " Nominee ") for election to the Company's board of directors. Further details regarding the proposed Investor Rights Agreement will be included in the Company's management information circular to be prepared in connection with Foraco's scheduled ordinary and extraordinary shareholders general meeting to be held on June 24, 2021 (the " Meeting ").

Closing of the Financial Reorganization is subject to the negotiation of mutually acceptable definitive agreements, regulatory approvals including without limitation, approval of Toronto Stock Exchange (" TSX "), the Company obtaining certain shareholder approvals (" Shareholder Approvals ") at the Meeting, and other conditions precedent which are customary for this type of transaction. The Shareholder Approvals are expected to include approvals in respect of the Security Interests, the Share Issuance, capital increases and related amendments to the Company's bylaws, as well as the appointment of the Nominee. Further information regarding the Financial Reorganization and the Shareholder Approvals will be included in the Company's management information circular prepared in connection with the Meeting.

Hey Savy, At first glance, this looks pretty good to FAR shareholders.   Apart from the reduced long term debat amount, swapping the Euro debt for USD will reduce the exchange risk,number of shares issued is reasonable and it pushes the maturity further out which greatly reduces the bankruptcy risk. The interest rate is now variable currently at 9% which is expensive but  whatever. ...more

The bad   Still alot of debt at $100 million and the interest rate is pretty high at 8.5% plus LIBOR. The good   Shares were deemed to be worth $1.80 U.S.in the exchange and there is an actual reduction in debt of $49 million. I guess as long as they can keep profits up and pay the interest payments there will be a good chance they get this balance sheet under control. Another ...more

Foraco was printing money in 2011-2012 with less rigs, between 70-80 million per year.   Of course, they blowed it with acquisitions and capital expenditures, the good times were not suppose to end that abruptly.  The godd thing : they might have learned their lesson this time. The pick up in cash could be quite substancial also as utilisation rate as well as rates could increase ...more

As a long time shareholder and  buyer for over 5 years with my cost down to just under $..40. I have reduced my position to zero for the time being. The stock is still not trading large enough volumes to not get trapped for another 5 years. I think it will become more liquid but I had too big a position and once I got it down to a small position I decided to exit completely. I will be keeping ...more

Patience paid off and congrats on the investment.    Once one starts to sell, it is difficult not to liquidate the whole position.    As i believe in that this is just the beginning of this cycle, still buying at this level.  Do not really understand the getting trapped for the next 5 years.   No idea about the size of your position but Foraco was able to buyback ...more

Yes it was a fairly large position and if you don't want to kill the demand and price you need to dribble the shares out. If you look back at Foraco's trading history there is lots of times it barely traded in a week. It would even  been hard to  sell 10.000 or  20,000  sharesas theire was no bid or 500 shares bidding. Even now thier is never a big bid but there does ...more

Interesting on Geodrill.  You mean Sustainable Capital ?  I see their last sale in March.   Do you know why they were selling ?  Of course, if they are slowly liquidating their holdings, it will take some time. I am getting older too but i gave up trying to time the market.   We might see a good pullback but then, at what level should one get back in ?  ...more

If anyone can help me understand the last new release about refinancing..   Why would Foraco issue 9.3 Million Shares to Oaktree and Kartesia, is that to settle the $49.4 Million debt?  Thanks in advance, I have never seen a company do this in the past.

Hi, this is part of the settlement of the their 140 million debt.  They will issue them these shares as well as 90 millions USD that they are borrowing.    After paying some fees, they estimate that net, shareholders will make a gain of 33 millions. The 49 millions you are reffering to is only the difference between net debt du before the deal 140 millions and after 90 million ...more
