RE:RE:RE:RE:RE:RE:RE:RE:RE:RE:RE:samMaybe they were not planning on being sold when they raised the money.  Or maybe they knew they would be more attractive target if they did raise the funds first.   Or maybe it was a bit of both.  I don't know.   But one thing I am quite certain of is that the courts are not going to find anything amiss with this deal.
