why did BNP transfer it's interest to silver lake? why didn't BNP just call the loan and end up with a gold mine?

if an offer for the outstanding shares is made by silver lake would silver lake in this scenerio be obligated to pay the appian debt which appears to be $29,427,000?

the big loser here appears to be Appian who have taken shares in exchange for debt payments which are now worthless.
