Case study referenced in this article shows a court deeming a 5% break fee excessive but not terminating it from the agreement. The current break fee in place amounts to 4.2% of the offer at tha May.31, 2021 stock values so at todays prices it would be even lower as a % of the offer.

The break fee will stand, PPL/IPL will merge.
