Prior to the Acquisition , Mr. Sprott beneficially own ed 4,766,215 Shares and 4,766,215 Share purchase warrants, representing approximately 5.1 % of the then outstanding Shares on a non - diluted basis and approximately 9.7 % on a partially diluted basis assuming exercise o f the warrants.

After giving effect to the A cquisition , Mr. Sprott beneficially owns and controls 9,874,115 Shares and 9,874,115 Warrants represent ing approximately 8.5 % of the issued and outstanding Shares on a non - diluted basis, and approximately 15.6 % on a partially diluted basis assuming exercise of the Warrants.
