Some somber thinking! Probe is about to be bought out.

That should be good news: this is why it’s NOT GOOD NEWS! (These are my opinion 
 

a) management as expressed by an earlier post is slow playing all their results. "Drilling results are backed up in the labs" is the standard line for why they cannot give us the results.  

 

b) the trading price has been stuck at ~1.90 Canadian. This is evidence that management has secured a price based on this low valuation. Others have mentioned the sketchy daily trading

 

c) the deal is done and they will act like the deal came as a surprise. WATCH THEM ACT THAT THIS WAS THE BEST DEAL! Management has accepted a large breakup fee and a price to keep out competitive buyers and to insure management perks to close the deal.

 

d) management has used their paid employment to WINDOW DRESS THE COMPANY. It’s a real charade. They cannot get lab results because they backed up. They won’t release drill results unless they perfectly synchronized. All slow moves. And now they play act with us that they are on a 150,000 meter drilling program. How disingenuous can you be. They have NO intent in drilling 150,000 meters. We are being strung along.

 

e) there will be NO updated resource, there will be NO updated PEA, there will be NO feasibility study. YOU KNOW WHY? Simply because they have sold the company and so all these stages to proving how valuable a company we have will never be known. 

 

f) this scenario is compounded further to the negative side for probe shareholders. “DO YOU KNOW CANADAS RICHEST AND MOST PROFITABLE MINE IS? DETOUR. Detour is owned by KIRKLAND and Kirkland is now OWNED BY the new AGNICO. 

 

g) Did you know that the richest Canadian mine Detour is also owned by Probe Metals shareholders on the Quebec side? Ill say it again, The richest mine in Canada is owned on the Quebec side by Probe Metals. Significant work has been done on Detour Quebec and have you noticed Probe has been mum and deliberately keeping it out of focus. HOW CAN PROBE SHAREHOLDERS NOT BE AWARE OF THIS EXTREMELY VALUABLE LAND PACKGE? You know why because management has the company sold and the less you know the less you will expect. 

 

h) if you have read and followed the above points Probe Metals is trading at a tragically depressed price and it will be important that we don’t allow the company to be stolen from us. 

 

i) management has a fiduciary responsibility to its shareholders. This means management must show all offers for the company to its shareholders. They cannot accept an offer with a large break up fee. THERE SHOULD BE NO BREAKUP FEE without shareholders first agreeing to a deal. 

THERE IS MUCH MORE TO BE SAID BUT THIS SHOULD GIVE YOU SIGNIFICANT PAUSE WHAT IS HAPPENING TO US AS WE ARE BEHIND THE CURTAINS OF TBEIR DEALINGS.

 

Questions to pepper management in order to understand the value of our company:
 

1) where are our drill results?

2) where is our updated resource?

3) Where is our updated PEA?

4) Where is our PFS?

5) where are the drill results and the surface results on our Detour property?

6) When will you spin off the 2 assets you said you would to Probe shareholders? -Chromite and Detour Quebec 

 

Probe shareholders, we should expect a minimum price C$750 million of C$5 per share without them showing the updated resource, Updated PEA, the Feasibility study. It would be a significantly higher price if they revealed to us the value. I really hope management will treat their shareholders fairly. They have three (possibly 4) interested buyers so a competitive bid should be in play. 

This is all just my honest opinion but I am afraid I might be right if we dont act soon!

Very well laid out and certainly a possibility.  That said, I don't think it will happen this way.  Dave had Probe Mines stolen from him in the middle of the night.  He learned from that and built a team around him with knowledge and experience to avoid a repeat of that event.  Could it happen, yes, will it happen, my bet is no.  If it did we all make come out with a ...more

Bobwalkerstocks,  All great points.  My understanding is the Goldcorp offer was made over the weekend and expired on or about midnight Sunday.  At that time the trend for the gold under and past Borden Lake was pretty clear but not enough infill drilling had been done to prove it.  So while Dave had great confidence the high grade gold trend continued all the way to the ...more

JM A lot of good thoughts on the board last few days.  That is my understanding ....I also know they needed a heavyweight to work with TEMBEC ?? ( i think thats the family ) to secure mineral rights to the east.    Something like..."we can mine up your land...and take 20 years because the deposit also goes under the lake".   So the family accepted Goldcorps ...more

Hopefully you can help Probe shareholders a good price by communicating with management.    Some Thoughts  if any company buying Probe such as AEM, EGO, WDOME, OSISKO or Barrick -the infrastructure build out for them is inexpensive and limited.  - They are all already operating in ValDor. - They can simply put Probes ore through their ...more

I emailed IR/Seema, not expecting much of a reply TBH. I asked why there hasn't been promotion and webinars like many other companies successfully do. IE Great Bear and many others. Sometimes you have to get the word out or talk to shareholders and walk them through the projects. Basically educate the investors and analysts. I have a feeling they are so preoccuppied running Angus and Canstar ...more

Good points...you can go to SEDAR and get the salaries and share position form the Management Circular last year.   Top 6 absorb a lot of money....in the form of compensation ( note they are paid as consultants ....at least it looks like that on SEDAR )   Interesting they don't want dilution ....we will see.  If there is a push to 2.40 to 2.60 and Dave issues flow ...more

Rosehill, Thanks for posting.  Those numbers seem reasonable to me.  This is a highly qualified and experienced team.  You get what you pay for.  I am suprised at how little Jamie, Denis, Basil and Gordon took home.  I understand the real payout to them will be when the company is bought out but in the meantime they have to eat. What JM? $25k-55k/ month is reasonable to you for a company that hasn't moved meaningfully in 5 years? How about a base, call it $20k/ month or whatever, the rest in options that are tied to increase in share price, based on the 20 day moving average, too much of a free ride here, if you want to eat you need to perform, shareholders need to eat after 5 years too...

Hi Rosehill, You know I love your posts and thanks for the data, but the sentence, "The average Top Exploration Executive salary..." is a little confusing.  Hard to be a "top" executive and "average" at the same time.  I understand they are giving a range, but look up average salary for an MD in the states and you will find the number is about $237,000 ...more

The Execs at Probe are getting paid well above average and this means they better deliver results for shareholders that are above average. For 6 years these guys have been getting nicely paid. Now it’s time for shareholders to get a nice price. JM, I have said before and I will say it again. I don't care how much Dave is paid. I posted the numbers because its public information. CEO's working for mining companies make 10's of millions of dollars. Are they worth the money? If Probe is sold for 500 M what percentage should Dave walk away with when its all said and done? Rosehill, We are on the same page.  My comments were intended for the entire audience on the board not any one individual.   We have both been around since early days of Probe Mines and will both be around for the ultimate buyout and will likely participate in the new company that spins out.   I have rebuilt my Canstar position after exiting a couple years ago.  Not ...more

Schmoby,  it really seems a long time before the company moves up to where it should be. I feel the same way. I know Detour land package is more valuable than the whole of ValDor.  The current share price of Probe gives NO VALUE to Detour.   At this current price the company is not ready for sale. Company needs to appreciate to at least C$4 before an offer can be made on ...more
