UPLISTING PYR is huge...finally going to the big board!

NOT a NEED for financing...securities issuance for TSX uplist:

Without limitation, the original listing requirements of the TSX provide that a company must have a minimum of $10,000,000 in the treasury, the majority of which has been raised by the issuance of securities qualified for distribution by a prospectus, which requirement is not currently satisfied by the company.

Majority is defined as at least $5M+ $1 which I am sure Peter has lined up already with banks and lawyers.


The balance is zero concern as yesterdday NR: $4.8M from US Military +  $2.65M  coming in from Drosite = $7.45M  plus cash they have been receiving from Drosite and HPQ already easilly is over $5M on hand plus the securites issuance required to satisfiy TSX uplist. 

Contract for torch news seems strategically delayed as we uplist knowing Peter. Imho torch news is very very soon.

Let's be honest....we will apply and then we will see if we are going to meet the condition to be accepted. OK, thanks for letting us know. Let us know when you are conditionally approved and then how you are going to meet the condition. That will be the next news. And after that it will be final news of uplisting. By that time, we should have some serious sales news so I am not sure I care ...more

It brings up an interesting notion. Most companies only post when they have conditional approval, then they follow up (usually two weeks or less later) with final approval and the listing announcement, then begin trading the very next day on the new exchange. It's entirely up to the company. The criteria for acceptance are well established; you either have it or you don't. Usually companies file the paperwork quietly, do the work behind the scenes, then announce preliminary or conditional acceptance by the TSX, then two weeks later or less announce final acceptance, then are literally trading on the new exchange the next day. I don't think a bond issue will do. Peter will have to issue equity. One way of doing this would be to sell his own equity in a bought deal. Maybe that is why he created so much equity for himself a week or so ago by converting his loan to equity. That sort of deal would help meet the TSX requirements with a minimum of new equity dilution and provide a nice payout for himself. A great way to ...more

This makes a lot of sense. Peter recently added to his holdings. Without all the mumbo jumbo, Peter owns just over 50% of the shares currently, but with warrants that he has a right to exercise, ownership increases to 53.67%. Keep in mind everyone as only half of the $10M is required via new issuance. $5M @$4.11 sp is about 1.2M shares which is way less than 1% dilution but remember Pyrogenesis bought back 1.2M shares thru companies NCIB program earlier this year As stated..Pyrogenesis majority means...anything over $5M is defined as majority. Thus only touch under $5M needs to satisfy the issuance of securities ...more

Yes indeed.  Since Peter is ex Wall Street Banker..he knows exactly what he is doing. I'm betting in very near horizon we'll get update on moving to the senior board as tech company.   Seems very strategic planning on timing with torch news release...very exciting times.

very interesting point: we just sold 1.6M -- but bought back 1.2M recently -- so the net difference is only 0.4M -- that's NOTHING!

Yup, it's a wash. With the recent buyback form PYR, it's virtually zero dilution. Quite amazing, actually, and clearly that was the reason for the buyback at the time, we just didn't know it.

You explained well how it works. But the previous buyback had nothing to do with this. PYR had no idea what the shares would be worth months after the buyback just like they have no clue what it will be months from now. Neither of us know for sure, but it sure worked out well didn't it ;) And absolutely, stocks don't always move once they hit the big board.. on NO NEWS. But, once news hits, it sure will. Nevermind the advantage of tighter controls on stock manipulation. Can't imagine you're suggesting this is bad news and you'd prefer they stay on the venture.  It's all good baby.
