An agreement like that attached to the sale of RVX has to be approved by shareholders.  Why would we agree to that?

The assets of RVX including future royalties are owned by rvx shareholders.

Even if RVX shareholders all get a share of spinco , this would not be a true separation of the assets of rvx and spinco's assets.
