There are potential tax benefits

There are potential tax benefitsto  an entity   picking   up   SOT    on the cheap   as   if   their   properties   are  sold   and/or   worth far less    than    BV    those   losses   could   be  possibly   applied   to  gains   held   by another  entity  that   merged   with   SOT.
