As for the offering price, it is right in line with other recent offerings of common stock. Have a look at a recent large cap offering by TRP.
IMO this exit of a large shareholder was handled EXTREMELY well, benefiting the share holders!

I've held this a long time, but this is the kind of move that they have made before and flys in the face of people that bought over the past month. I hate garbage like that. But thankfully those French clowns are gone. They caused this stock to be punished for a whole year.
