Long Run was acquired by way of Plan of Arrangement (in essence an amalgamation).  In TBE case, it is an Asset Purchase - very different situation.  The Assets of TBE are being sold and the proceeds must deducted from the TBE tax pools.  The 80-20 allocation in my prior post was based on allocation of price in PSA.
