Does anyone have any thoughts on this reverse takeover? The whole thing seems incredibly fishy to me. Here are my immediate thoughts:

1. Paul Walker was the competitor to RH a few years ago in trying to takeover Adeptron. Now he is taking it over when it is at its lowest.

2. Walker owns 100% of Artaflax, so he will own 75% of the combined company. What???

3. Why exactly is Adeptron only going to own 25% of the outstanding shares? Isn't it a larger company than Artaflax?

4. How will the dilution after investors? What will we have left? The whole dilution thing seems murky. Can anyone explain the detail?

5. Is this deal designed to benefit Walker, RH and insiders? Are we being shafted?

Paul is a smart guy - no doubt about it. RH must have been very desperate because Paul would only buy this dying company if he could get it for pennies on the dollar and steal some decent customers. But one thing is certain - He and his inner circle will be the only ones to prosper with this deal. Unless you already own a whack of shares, I believe it is "goodbye" to current shareholders. I think I'll write this scenario down under the heading "Things that happen that are bad for current shareholders". Seems as though that column is a lot longer than the one called "Things that happen that are good for current shareholders".tbk
