Thank you geezer.  I was already aware of this section of the circular which only deals with Named Executive Officers compensation in the event of a change of control.. It never occurred to me that these are the provisions which Mount Kellett referred to at the beginning of the proxy contests  This is limited to $2,900,000 and only four officers.  This is petty cash to Mount Kellett.  The amount is not likely to be a factor one way or the other to inhibit MK to do what they want to do. It is simply the cost of doing business.

 

I still remain open to the thought that Mount Kellett was referring to some other corporte consequences if there is a change in control of Baja.
