Thank you for your comment. How did you calculate your fair value for NAMSYS shares? What mistakes did I make in my examples? Please, substantiate your claims with factual numbers and appropraite source information. I have a residual long position in NAMSYS and would be interested in learning more about the company. Growth in cash flow and profitability, not wishful thinking of some pumpers-dumpers drive share prices in the long run.
Another aspect to consider, which I forgot to mention is the buy-out clause:
"an aggregate of 15% of the consideration payable in respect of such a transaction to be paid to NamSys Bonus Employees in such individual proportions as the directors in their sole and absolute discretion shall determine". This puts an additional 15% discount to the potential take-out price. In my opinion, one should consider a price floor when considering an investment. I believe it is quite reasonable to assume that if NAMSYS shares were to tank, market consolidators, dominant clients, or private equity might become interested in submitting a bid for the company as a whole in line with historical multiples.
