Seek, take another look at the announcement. The whole point of the deal with Toyota is that if it goes thru, there will not  be any dilution for current shareholders.  Toyota will arrange the financing and Matamec gets to pay its share out of future cash flow from the mine.  It might limit Matamec's abilities to pay dividends until its share is repaid repaid, but I can live with that in return for no dilution.  Meanwhile other promising projects like Quest have no idea at this point how they will fund the development of their mines or how much dilution will result.  Matamec has been criticized for "leaving too much on the table".  I don't agree; instead people should be focusing on the fact that Matamec now has a reservation for a seat at the table.  As soon as Toyota "confirms" the reservation, the share price should take off.
