The Key is to understand the term "Accredited Investor" who qualifies as an accredited investor. Typically the term refers to individuals with substantial financial investment, annual income exceeding certain limits. The private placement is simply NOT available for retail investors even if you have over a 1 Million TLT shares!!. Further, as an example, if you own let us say a multi million Dollar Real estate investment, you are NOT considred as an "Accredited investor". Just for the sake of clarity, pls google who qualifies as an "accedited investor". The whole PP and the follow up PP is only to enrich themselves and their friends and family.
