What is required to prevent merger?
It appears that if a mere 33.33% of the votes cast for each of the companies individually are a no vote then that particular company fails to obtain shareholder approval and the merger breaks down

Pone, if there was anything "illegal" about this sale, the ASC, possibly at the behest of an aggrieved shareholder, could have issued a stop order to prevent the transaction proceeding
