If they had put the sale of Elbow River up to a vote of shareholders, they would have lost 9 to 1.   No one in his right mind would sell an oil by rail infrastructure play at 5x EBITDA when that ...more

It appears that if a mere 33.33% of the votes cast for each of the companies individually are a no vote then that particular company fails to obtain shareholder approval and the merger breaks down ...more

Pone, if there was anything "illegal" about this sale, the ASC, possibly at the behest of an aggrieved shareholder, could have issued a stop order to prevent the transaction proceeding ...more
