  1. The Management is an "interim" CEO who has detractors and an "interim" CFO who is a part-time contract hire of the CEO
  2. Governance (3 man board and 2 would appear to be the interim CEO's pals)
  3. CEO lives in Miami, 1 director lives in the Bahamas and the other...
  4. No institutional shareholder to impose discipline
  5. Shareholder communications are brutal:
  • No website for months..."thank you for your understanding..."
  • No Full-time Management...zero
  • Have not announced vote results of AGM
  • No review of the change in NAV with the Verano listing
  • No guidance on what SOL will do with its Verano shares
  • No statement about the future direction of the company, inlcuding hiring a CEO, CFO, etc.
  • Inventing the PSUs is pretty much the only visible action of the Board = working to pay themselves 
SOL is not a serious public company - by design.  

And then there's the MMCap shakedown...

Having said that, it has valuable assets that appear to greatly exceed it's market cap.
