The dreadful deal

I thought I would share this comment from a friend of another major THTX shareholder I know. His friend is a portfolio manager at a major firm in the US:

My PM friend from (I removed the firm's name) ( he manages 5 billion 4 time all star ) called me today.  After a quick “ look see “ yesterday didn’t see anything good about the deal.  Today he called and said he devoted an hour last night studying everything and said “ therf gave away the farm when they didn’t have too and they royally screwed existing shareholders when they didn’t have too “
 
He said as promising as the company looks he would probably avoid it bc of  this incredibly poor deal they put together.  I couldn’t answer him when he said they had a shot to play in the big leagues and deal with piper / Raymond James  /  etc.  they ran back to Canada.  He can’t figure that out and asked why even bother to be on the nasdaq if you don’t want to play with the big boys ?
 
He asked if something could have gone wrong that I don’t know about bc it looks to him like a panicked / rushed / too good to be true deal.  I told him I wasn’t aware of anything that panicked the leadership.  He was gobsmacked they haven’t reached out to major shareholders

Unfortunately that's the way business is done in that part of Canada. Your friends get taken care of first at the expense of everyone else.

SPCEO I hope that Dubuc will give you the time of day once he is able to more freely chat next week. We all are frustrated by the deal and lack of engagement from management. I would hope they try to med the relationship and provide some insight. I would love to hear your summary of that conversation when it happens. SPCEO I have ask if you have an objective here? You are irritated and are tying to prove your point? I think you are doing a disservice to many holders on this board who are interpreting your stance as if they should sell the stock! Maybe you should clear up your view on that - in their best interests!

Please see my previous post. And I would urge anyone on the board to read all of my posts carefully and not just focus on my criticism of this foolish financing (maybe some info will come out that will put it in a different light but I doubt that is going to happen). TH is fine, obviously better financially post the deal than before it, but that does not mean a company that seemed headed in the ...more

I am backing SPCEO right now...He has been one of the biggest cheerleader for the company and they screwed up. SPCEO has to answer to a bunch of his clients who are pretty upset with the lack of performance from this company. Right now, we need to regroup and figure out what the heck they were thinking when they decided this.  I really ask that you reconsider being part of the board SPCEO or ...more

Sorry, that is not going to happen. But if shareholders generally agree something needs to be done, and I am not sure I am even in that camp yet, then the votes will be tallied, changes will be made and new board members will chosen who likely would be better qualified than me anyway. Most of the supporting data for NASH came out through Grinspoon, a reputable researcher in good peer reviewed journal. It all looks Kosher. We know it's strengths and weaknesses. The hidden defect, if there is one, can only come from the regulatory side and the Jan PR pretty much put them in the Ph3 ballpark, they can't walk that back to Ph2 surely. "He said as promising as the company looks he would probably avoid it" I am trying to move on but this deal doesn't make sense at all, we have been waiting for almost two years for the NASH, even they have to do some adjustments as per PR it looks like it's definitely a phase 3. This is the problem they created by rushing to an awful deal again primary effect is millions of these ...more

With all due respect Scarlett, these are all assumptions you are making, again how do you know where the shares will be landing? What if a US institution wants to keep quiet and preferred to do a deal through Mackie? So many of your questions will be answered over time, but right now you cannot get the answer to them legally. Because I was there when the diluted at 3 and 5 in both cases the SP stalled for a long while and the only explanation is the new investors bailed out for a small profit, that's why either early positive cancer results or a much more retail friendly marketing can stop the selling. We can play good cop bad cop all day long but I don't see a point. Time will tell. I hope we can all circle back to all of this soon and be OK with it.

I'm no expert on raising money so I take what the level headed (if fuming), experienced guys say. It seems this deal fits the pattern of a small, desparate, provincial, Canadian biotech despately failing to be taken seriously by the big serious US-based biotech ecosystem.
