Bevcanna Partnership?

Bevcanna received there processing licence on Friday.
Curious as to whether the supply agreement still stands between the two. I know it hasn't been formally cancelled but they have been fairly quiet about its current standing.

There has been alot of debate about this on this board the past few months - especially when Bev started going up. Both companies havent offered up much information on this - which isnt exactly a ringing endorsement of the deal. I think Bevcanna has different management from when they made this deal with NL. Emma Andrews was a big executive over there - but seems to be primarily with NL now ...more

I'm really pleased to hear that Bevcanna has finally received their license!  The agreement between Nextleaf and Bevcanna is why I signed on in the first place 2 years ago. I contacted Investor Relations back in 2020 to ask about the Bevcanna deal because there was some concern on the board that no one had mentioned it in a while.  This is an excerpt from Jason's reply on ...more

In Bevcanna's last management call they explicitly answerd this question stating Nextleaf would be a primary supplier of cannabinoids and that Bevcanna would be operating as a traditional agnostic bottling operation, going with client formulations while also consulting with new customers on formulation.  Everybody keeps focusing on THC but CBD health drinks will be the big boom now that ...more

My question about the Bevcanna situation is that they said in their conference call that NL would be a supplier, along with others based on the client's preference for ingredients. This is all well and good, but they specifically signed an exclusive agreement to be the only supplier https://www.businesswire.com/news/home/20190916005465/en/BevCanna-Announces-Exclusive-Supply-Agreement-with ...more

RM90090 It's also in Nextleafs interest to not be exclusively tied to one company for their emulsions tech if they're shopping it with Kronos. Acherage (Canopy US partner) just built their bottling plant, MSO's doing the same.  It sounds like some of Bevcanna's partners have their own supply they'd like to burn through in their formulations. If LABS develops a drink and ...more

Well said Franks.   It was Franks and I thst went back and forth on whether the deal with bevcanna would be completed.   We agreed that there will be a deal between the two companies as both nextleaf and bevcanna have suggested there would be.    However the terms of the deal won't be exclusive and it's a matter of whether they are using the inputs created by nextleaf ...more

Just to bring to attention - in the Bevcanna Investor Deck - Page 8 shows Nextleaf as exclusive extraction partner. Also shows Emma as Chief Commercialization Officer On Page 5. I will be trying to confirm the relationship between BEV and OILS this week with IR.

Outdated deck.   Emma is no longer integrated with Bev and Melise seems to have stepped into her shoes.   That's what sent me Sproutlys way.   Could be a coincidence though? they will not be exclusive that was clear by the last conference call.  Just what are their using for the Keef line of products ?  That's the question and I'm leaning Nextleafs way

As I recall, Bevcanna did not meet their commercialization milestone in the contract rendering the exclusivity of the arrangement void. If they use our stuff, great. It's also great that we can shop it around.
Comment by Rm90090 on Feb 15, 2021 5:28pm
The exclusivity was always only on the one side. In the deal NL didn't have to be exclusive in providing their oil to Bevcanna. They could continue to provide other companies (as per IR at the time). Bevcanna seems to have completely new management. If they are choosing to not be exclusive - then it appears that they aren't honouring the agreement (or they beleive legally that they don& ...more

Hi RM, When I read the quote below is seems like BevC was granted an exclusive license to use NL's IP for beverages with the proviso it was commercialized in a year. They missed that milestone so that particular IP is fair game for another licensee. Is this the NR you're referring to? I agree that we can't count on them using our IP until we see it in writing.  Nextleaf has ...more

Hi BuyHigh, I was referring to a conversation that I had with IR for Nextleaf around the time when the deal was originally signed. They had said to me that NL didn't have to be exclusive- but they must have been referring to just the oil provision and not the IP. So in that case, I completely agree with what Franks wrote yesterday saying that we wouldn't want to be exclusive in the IP at ...more

In the deal OILS can peddle their IP to others. The exclusivity was for BEV to use OILS IP. Nextleaf has fulfilled their end of the agreement, thus far. Bevcanna is the one who has not met commercialization and is therefore in default of the agreement. I believe the question lays in was this a legal binding agreement or merely a letter of intent. Again Nextleaf has provided the oils necessary for ...more

It's interesting to see BevCana trading at a significant market cap with no sales. I believe it will take some time to develop a market for their products. once producing and distributing beverages, their plant has a huge production capability. I asked nextleaf management if Bevcanna was producing at full capacity how much of nextleafs oil production would be committed to them. The answer was ...more

Pretty interesting to have watched as VLP was brought on board the stock price raised up on virtually no fundamental change in the company. As the shareprice rose the CEO (Marcello Leone) started selling all of his millions of shares (including exercising options continuously) and selling everything at a massive profit.  Marcello did the same at RYU ( before he got the boot) and moved ...more
